My terms and conditions (GTC) of [your company name] for management consultancies
1. Scope
1.1 These general terms and conditions apply to all contracts, offers, services and deliveries between [your company name] (hereinafter: “consultant”) and the customer, unless otherwise agreed in writing.
1.2 Deviating conditions of the customer are only recognized if they have been expressly confirmed in writing.
2. Scope of services
2.1 The consultant provides the agreed services to the best of his knowledge and belief on the basis of the specifications agreed with the customer.
2.2 A specific result is not owed unless this has been expressly agreed in writing.
3. Remuneration and payment terms
3.1 Remuneration is based on the fee agreed in the contract. Unless otherwise agreed, remuneration is plus statutory VAT.
3.2 Invoices are to be paid within [e.g. 14] days of the invoice date without deduction.
4. Customer’s duty to cooperate
4.1 The customer undertakes to provide the consultant with all information and documents required to carry out the service in a timely manner.
4.2 Delays due to a lack of cooperation by the customer are not the responsibility of the consultant.
5. Liability
5.1 The consultant is only liable for damages in the event of intent or gross negligence. Liability for lost profits or consequential damages is excluded to the extent permitted by law.
5.2 The amount of liability is limited to the amount of the fee for the respective contract.
6. Confidentiality
6.1 The consultant undertakes to treat all information obtained from the customer as part of the collaboration as confidential.
6.2 This obligation remains in place even after the contractual relationship has ended.
7. Termination and cancellation
7.1 Both parties can terminate the contract in writing for good cause.
7.2 In the event of early termination by the customer, the consultant retains the right to remuneration for the services provided up to that point.
8. Choice of law and place of jurisdiction
8.1 Austrian law applies exclusively, excluding conflict of laws rules.
8.2 The place of jurisdiction for all disputes is [your company headquarters], unless mandatory statutory provisions conflict with this.
